How Long Does It take to Incorporate in Oregon?
Usually you’ll be incorporated within a couple days of submitting your application to us. We review your form for obvious errors and submit it via our approved electronic account with the State of Oregon the same business day you give it to us. Oregon State usually takes 1-2 days to process the corporation and then mail you documents in the mail. Most of our competitors take days and weeks to submit your application to Oregon State, AND charge a fee if you want it any faster. For us it’s part of the package. No extra fee, and same day submittal.
What is the Electronic Filing Process for Incorporation?
- Choose one of our online forms corresponding to the type of corporate entity you want to create. Fill out the form and hit the send button at the bottom.
- This form comes to us. We review it for completeness, spelling, syntax… We contact you with any issues that need to be resolved before we send your form in.
- We file your application electronically through our pre-approved account with the State of Oregon the same business day and we receive a confirmation that they’ve received it.
- The State of Oregon will then mail your “Articles of Incorporation” paperwork through the postal mail system directly to you.
What are the Costs To Incorporate My Business In Oregon?
We charge a flat rate of $195 for Oregon Profit, Non-Profit, and LLC business processing at this site. There are no hidden fees. In comparison, Legalzoom charges $369 + State fee to cover the same things we include in our processing.
Do I Need a Tax ID (Employer Identification Number – EIN)?
Banks require you have a tax ID number for your business to open an account registered to your corporate name. As part of our incorporation packages we provide you with the necessary IRS form SS-4 and instructions for filling it out in order to apply for your EIN. You’ll send it directly to the IRS. Some companies actually charge you for this!
What Is A Registered Agent?
A Registered Agent is someone that lives in the state of Oregon and that can be legally responsible for receiving all documentation/notices for the corporation you form. If you live outside of Oregon you’ll need to have someone act as a “Registered Agent” for you. If you require this service there are places on the incorporation forms to choose this option. We charge $125 per year for this extra service. Note: Having a P.O. box in Oregon is insufficient. The address of the Registered Agent must be a physical building address.
Which Do I Use? Corporation. Corp., Incorporated, Inc., Company, or Co.?
It’s up to you really. The choices that we have on our form in the drop down menus will guide you. It’s as simple as choosing one that sounds good with your business. Legally there is no difference between using any of the abbreviations above for a Profit corporation for instance. This suffix requirement serves notice to customers that they are dealing with a corporation. (note: LLC’s and Profit corporations have different requirements – use our incorporation form drop down menus to choose one.)
Can I Use My Home Address For My Corporate Address?
Yes. Many incorporators use a home address and then later file an “amendment†to change the address to their new physical location. The cost for filing an amendment varies. Or you can keep your corporate address the same as your home address.
How Can I File an S Corporation?
An S Corporation or Sub-Chapter “S†is a designation by the Internal Revenue Service that takes place after you’ve formed your Oregon Profit corporation. Here at this site we’ve tried to simplify it by having separate forms for Oregon Profit and Subchaper S corporations. In truth, they are both profit corporations but the subchapter s form has some extra info so we know you’ll need the IRS form and instructions to complete your Subchapter S incorporation after filing. This is a FREE service from us. Most of our competition will charge you between $25 and $100 to help you obtain and file this form. The IRS does not charge you to file this form.
Do I have to have an EIN to file the S Corporation paperwork with the IRS?
You must have received or have already applied for an Employer Identification Number (EIN or Tax ID) to file the S Corporation form with the IRS.
Can’t I Use Oregon’s State Site to incorporate my new business?
Sure you can. In fact, that was the impetus behind building this site to help you. The official Oregon site, like most government created websites that are designed to help – don’t do a very good job of ‘helping’. In fact, they’re bewildering, and the reason we decided to create an easy to use site that gives a better user experience and reduces costly errors in submitting incorporation forms. If you’re lucky you’ll be able to get through their site and incorporate without any problems. If not, you’ll wish you hadn’t.
